A lot is expected of lawyers serving on nonprofit boards – often much more than a lawyer can provide without running afoul of his/her commitment to professional ethics. This session explores the convergence of and conflicts arising from lawyers’ professional duties and the duties required of nonprofit board members.

Participants will be cued to revisit their professional duties – to safeguard client property, maintain confidences, avoid conflicts of interest, deal honestly, and refuse to take advantage of the client – in the context of a nonprofit director’s duties of care, loyalty, and obedience.  

Hypotheticals based on actual cases are utilized to lead participants through potential situations they may encounter while serving on nonprofit boards and the pros and cons of various action steps that might be taken. The session also explores the question of who the client really is, when a lawyer is assisting a nonprofit on whose board he/she serves, and what to consider when you are serving both as a director on a nonprofit board and as its counsel.

Eric T. Cooperstein, the "Ethics Maven,” has a solo practice devoted to representing and consulting with lawyers in a wide variety of legal ethics and law practice conundrums.  Eric defends lawyers against ethics complaints, provides advice and expert opinions, and represents lawyers in fee disputes and law firm break-ups.  Eric is a frequent CLE presenter, webcaster, and moderator in Minnesota and nationwide on legal ethics and practice management.  Eric served as President of the Hennepin County Bar Association in 2013-14.  He has also served as chair of the Minnesota State Bar Association’s Rules of Professional Conduct Committee (July 2009 through June 2012), serves on the editorial board for Minnesota Lawyers Mutual’s law practice pamphlet series, and is a member of the Association of Professional Responsibility Lawyers.
